Please read these Terms of Use ("Terms") carefully. These Terms include an agreement to arbitrate disputes on an individual basis and limit your ability to bring claims in court or participate in class actions, to the extent permitted by applicable law.
1. Agreement
These Terms form a legally binding agreement between you and Navien, Inc. d/b/a Navien OptiSleep ("Navien," "we," "us," or "our") governing your access to and use of the website located at navienoptisleep.com (the "Site").
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you may not access or use the Site.
2. Purchases; Terms of Sale
All purchases of products or services through the Site are governed exclusively by our Terms of Sale.
In the event of any conflict between these Terms and the Terms of Sale, the Terms of Sale shall control with respect to any purchase.
3. Changes to These Terms
We may update these Terms from time to time. Any changes will be effective upon posting to the Site, as indicated by the updated Effective Date.
Your continued use of the Site following such changes constitutes your acceptance of the revised Terms.
4. Limited License
Navien grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes, subject to these Terms.
5. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of applicable law
- Interfere with or disrupt the operation of the Site
- Attempt to gain unauthorized access to any systems or networks
- Copy, reproduce, scrape, or exploit Site content without prior written authorization
- Use Navien trademarks, logos, or branding without express written consent
- Misrepresent your identity or affiliation with any person or entity
6. Intellectual Property
All content on the Site, including text, graphics, logos, images, videos, and software (collectively, "Materials"), is the property of Navien or its licensors and is protected by applicable intellectual property laws.
Any unauthorized use of the Materials is strictly prohibited.
7. No Medical or Health Advice
The products and information provided through the Site are not intended to diagnose, treat, cure, or prevent any medical condition and do not constitute medical or health advice.

8. Disclaimer of Warranties
THE SITE AND ALL CONTENT PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAVIEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAVIEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE.
NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY WHERE SUCH LIMITATION OR EXCLUSION IS PROHIBITED BY APPLICABLE LAW.
10. Indemnification
You agree to indemnify, defend, and hold harmless Navien and its affiliates, officers, directors, employees, and agents from and against any claims, damages, or expenses arising out of your violation of these Terms or misuse of the Site.
11. Termination
We reserve the right to suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to Navien or other users.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles, except to the extent that applicable consumer protection laws require otherwise.
13. Dispute Resolution; Arbitration
To the extent permitted by applicable law, any dispute arising out of or relating to these Terms or your use of the Site shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) in Orange County, California.
Class Action Waiver:
To the extent permitted by applicable law, all disputes must be brought on an individual basis and may not be pursued as part of any class, consolidated, or representative action.
Opt-Out Right:
You may opt out of arbitration within 30 days of accepting these Terms by emailing optisleep@navien.com.
14. Consumer Rights
Nothing in these Terms is intended to exclude, limit, or modify any rights you may have under applicable consumer protection laws that cannot be excluded, limited, or modified by agreement.
15. Severability
If any provision of these Terms is determined to be unlawful or unenforceable, the remaining provisions will remain in full force and effect.
16. Entire Agreement
These Terms constitute the entire agreement between you and Navien regarding your use of the Site and supersede all prior agreements and understandings.
